ACCEPTANCE OF TERMS:

This website is owned and operated by Vajram, a company that enables users to facilitate cryptocurrency exchange in its platform. By accessing the services and/or using the services, you agree that you are authorized to accept the conditions (hereinafter referred to as ‘Terms & Conditions/Terms of Use’) on behalf of yourself and/or the company you represent. All services are subject to these terms of use, and by using these services you agree to be bound by these terms of use. In these terms of use, we refer to our website as Vajram, ‘us’ or ‘we’. ‘You’ refers to you and/or the company that you represent.

These terms apply to all agreements with Vajram and the online platform that Vajram offers on the internet. These terms and conditions override any other terms of use.

CHANGE OF TERMS

Vajram reserves the right to change, modify, update, add to or remove, with or without notice to you, portions of the terms of use at any time. Though we would try to communicate the modification, it is not guaranteed. Please check the terms of use periodically, for any changes. Your continued use of our services, after changes to terms of use, demonstrates your acceptance of these changes.

REGISTRATION (USER ACCOUNT) & VERIFICATION

To avail our services, you must first register with us by creating a user account. Only users above the age of 21 are permitted to register with us. Once the necessary information required for us by registration is provided and the submitted information has been examined according to the legal requirements placed upon us by authorities, an account will be issued. We request you to provide authentic information. We have the right to terminate your account if the information submitted proves to be fraudulent and does not comply with our standards.

A user is limited to only one account at the time. To create on behalf of someone else is strictly prohibited. Neither are you allowed to sell, borrow, share, or make your account details to ANYONE other than yourself.

The responsibility for maintaining your user credentials entirely lies in the user.

For us to abide by the legal obligations, we are subjected to verify your account when you create advertisements, pass certain trade volume limits, during trade disputes, fraud investigations, and to ensure the ownership of your account. We may also enhance the verification process, in certain situations, by demanding the sources for your fund through which the trade is initiated in our platform.

You are solely responsible for any obligations that have risen up until your termination. Also, you hold the right to delete your account at any time.

INDEMNITY

You agree to indemnify and hold Vajram (and its officers, employees, and agents) harmless, including costs and attorneys’ fees, from any claim or demand made by any third party due to or arising out of your,
(a) use of the service.
(b) violation of this Agreement.
(c) violation of applicable laws or regulations.
(d) third-party services.

Vajram reserves the right, at your expense, to assume the defense, authority, and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense. You agree not to settle any dispute without the prior written consent of the Vajram. We will use our best efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

PROHIBITED ACTIVITIES

In connection with your use of our Services, you hereby agree that you will not indulge in the following.

i) violate (or assist any other party in violating) any applicable law, statute, or regulation;

ii) deliberately try to defraud (or assist in the defrauding of) Vajram or any other User;

iii) provide fake, unauthentic, inaccurate, or misleading information;

(iv) trade taking advantage of any technical glitch, malfunction, failure, delay, or security breach;

v) take any action that interferes with our system or data.

vi) indulge in illegal activities;

vii) attempt to gain unauthorized access to other Vajram Accounts, the Services, or any related networks or systems;

viii) act against Vajram or as an intermediary by joining forces with third parties;

ix) use the Services to engage in conduct that is detrimental to Vajram, to any other user or any other third party;

x) hack others’ data.

xi) defame, harass, or violate the privacy or intellectual property rights of Vajram or any other User;

xii) upload or transmit any messages, photos, videos or other media that contain illegal goods, pornographic, violent, obscene or copyrighted images or materials for use as an avatar, in connection with a payment or payment request.

xiii) not to upload, transmit, or distribute to or through the Services any computer viruses, worms, or any software intended to damage or alter a computer system or data;

xiv) attempt to decompile, disrupt and intervene our system performance, any third-party use of the Services, or any third-party data contained

xv) access the Services in order to build a competitive product or service or copy any ideas, features, functions, or graphics.

DISPUTE:

Vajram does not encourage any sort of conflict, dispute, disagreement or row between buyers and sellers. In the unfortunate event of any dispute/conflict/disagreement/row that arises between buyers and sellers, the corresponding disagreement shall be attempted to solve.

DATA PROTECTION

Your private data account information, fund, and crypto coins will be secure with the corresponding wallets. The user credentials, key secret codes, and other prominent login information must be maintained only by the user and Vajram holds no responsibility to secure your credentials. Also, Vajram will not be accountable and liable in the event of any unfortunate security breach or hacks. Users are not entitled to claim for reimbursement or file charges against Vajram. However, Vajram will try every possible method from its side to limit the issues and get the system back to smooth functioning.

ACCOUNT SECURITY

Vajram has committed to maintaining the security of User funds and implemented industry-standard protection for its services. Yet, the users’ actions pose risks. You are solely responsible for taking the necessary security measures to protect your Vajram account and other personal information.

Vajram assumes in no way any responsibility for any loss or consequences caused as a result of authorized/unauthorized use of your account credentials, submission of various rules and agreements by clicking on the site, online agreement etc.

By creating an Vajram account, you hereby declare that

i) You will notify Vajram immediately in the event of any unauthorized login.

ii) You will strictly comply with the rules of Vajram regarding security, authentication, trading, charging, and withdrawal.

iii) You will take apt steps to logout from Vajram at the end of each visit.

LIMITATION, SUSPENSION & TERMINATION OF YOUR USER ACCOUNT

i) Vajram may terminate your Account or suspend your access to the Services at any time and with immediate effect for any reason or no reason, in our sole and absolute discretion. We have the right to decline to process any deposit/withdrawal without prior notice and may limit/suspend your use of one or more Services at any time, at our sole discretion. We hold the right to freeze the balance remaining in the suspended account.

ii) If the account is terminated due to fraud, violation of law, or violation of this Agreement, Vajram may, in its discretion, confiscate any balance remaining in the Account and deliver it to any applicable government, law enforcement, or other authorities where circumstances warrant.

iii) You may cancel your Account at any time by withdrawing all balances and sending us a message through the contact page requesting the cancellation of your Account. You remain liable for all transactions made while the account was open, upon termination of this Agreement and your Account.

iv) If you are holding bitcoin in your wallet and there has been no activity in your account for a period of time prescribed by applicable law, we may be required to report such remaining bitcoin in your account as unclaimed property in accordance with abandoned property and escheat laws. If this occurs, we will use our best efforts to provide written notice to you. If you fail to respond to any such notice within seven (7) business days of receipt, or as otherwise required by law, we may be required to deliver any such bitcoin to the applicable jurisdiction as unclaimed property. We reserve the right to deduct a dormancy fee or other administrative charges from such unclaimed bitcoin as permitted by applicable law.

v) Account suspension results in a temporary loss of access to most parts of the services we offer. Account termination blocks access to all services.

vi) As a result of limitation, suspension, or termination your access to and the withdrawal of bitcoins that you have in your wallet may be delayed or denied.

We hold every right to limit, suspend, or terminate your account or access to the services that we provide if:

i) we have a reason to believe that you have acted in violation of these Terms of Service or applicable laws or regulations or if we have an authentic reason to believe that any content/material submitted/shared by you in or through the Services violates these Terms and Conditions or applicable laws or regulations or third party rights.

ii) we suspect that you use Vajram services to engage in, attempt to engage in, or in connection with any sort of fraudulent activity, money laundering, terrorist financing, or other financial crime.

iii) we have not been able to verify your identity or we have reason to believe that you have supplied false, misleading or deceptive information in connection with your registration, identity check-up, trades or any other use of our services, either to us or to another user.

iv) we are required to do so under any applicable law, regulation or an order issued by an authority or court.

v) behave in a way that libels, defames, invades privacy, stalks, is obscene, pornographic, racist, abusive, harassing, threatening, or is offensive.

vi) if you use the services in a manner which may cause the services to be interrupted or damaged or such a way that the functionality of the services is in any sort of way impaired or attempt to illegally break any security mechanism of the services or if Vajram believes in good faith that such action is reasonably necessary to protect the security of its services/ property/brand/security and rights of its users or those of third parties.

vii) attempt any unauthorized access to user accounts or any part or component of the service.

We will give you notice of any suspension, or termination of your account but we might if it is reasonable to do so (for example we consider it advisable for security reasons), limit, suspend or terminate your account without any sort of prior notice.

You acknowledge that our decision to limit, suspend, or terminate your account, may be based on the confidential criteria that are prominent to our risk management/security protocols and that we are under no obligation to reveal the details of our risk management and security procedures to you unless otherwise provided by the Privacy Policy.

YOU ACKNOWLEDGE THAT OUR DECISION TO TAKE CERTAIN ACTIONS, INCLUDING LIMITING ACCESS TO, SUSPENDING, OR CLOSING YOUR ACCOUNT OR WALLET, MAY BE BASED ON CONFIDENTIAL CRITERIA THAT ARE ESSENTIAL TO OUR RISK MANAGEMENT AND SECURITY PROTOCOLS. YOU AGREE THAT Vajram IS UNDER NO OBLIGATION TO DISCLOSE THE DETAILS OF ITS RISK MANAGEMENT AND SECURITY PROCEDURES TO YOU.

10. FEES & PRICING

For the use of our services, you agree to pay the fees and charges as listed on our website. It may include fees for incoming/outgoing transactions and share-based fees for trades completed. You accept the fees deducted from your account when the service is completed. Vajram holds the right to change the fees or principles of pricing from time to time based on the terms of this agreement.

11. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

Under no circumstances will Vajram, it’s affiliates and their respective shareholders, members, directors, officers, employees, agents, and suppliers/contractors be liable for any indirect, consequential, or incidental damages arising out of Vajram services.

We make no warranty that the website or the server is virus-free and Vajram will in no way be liable for any security breach or any other form of a cyber-attack or loss of information/data due to any information/material posted online.

Vajram makes no warranty of any kind, express or implied, including any implied warranty of merchantability or fitness for a particular purpose, in connection with the Trading Services provided to you under this Agreement. We do not and cannot warrant that Vajram will operate without errors, or that any or all of our services will be available and operational at all times. You agree that our employees, directors, agents, or contractors are not liable for any indirect, incidental, special, or consequential damages under or by reason of any services or products provided under this Agreement or by reason of your use of or access to Vajram trading, including loss of profits, revenue, data, or use by you or any third party, whether in contract or based on a warranty.

We are not liable for the fluctuation in the value of cryptocurrencies. The users are only responsible for being aware of the changes on a daily basis.

12. FEEDBACK & USER SUBMISSION

Vajram strives to improve its Services and the website. Users' suggestions on further improvement of the platform or website are most welcome but their suggestions will be subjected to the terms and conditions in this agreement.

Under no circumstances will any disclosure of any idea or feedback, or any related material to Vajram or any of its subsidiaries, parents or affiliated companies, or any of their officers, directors, managers, members, shareholders, employees and agents, or any of their heirs, successors, representatives and assigns (each an “Vajram Party” and collectively, the (“Vajram Parties”) be subject to any sort of obligation of confidentiality/expectation of compensation. You further accept that Vajram may sub-license any of the Vajram Parties to use in any way any Work and material you have submitted. We have the right to remove any posting users may make to the Website, in our absolute discretion, without prior warning or reasons.

13. MISCELLANEOUS

i) Independent Parties: Vajram is an independent contractor but not an agent of you in the performance of these Terms. These Terms must not be interpreted as facts or evidence of an association, joint venture, partnership, or franchise between the parties.

ii) Entire Agreement: These terms constitute the entire agreement between the parties regarding the use of Vajram services and will supersede all prior written or oral agreements between the parties. Usage of trade or other regular practice or method of dealing between the parties will not be used to modify, interpret, supplement, or alter the terms herein.

iii) Interpretation and Revision: Vajram reserves the right to alter, revise, modify, and/or change these terms at any time. All changes will take effect immediately upon being published on Vajram websites. It is your responsibility to regularly check relevant pages on our websites/applications to confirm the latest version of these Terms and conditions. If you do not agree to any such modifications, your only remedy is to terminate your usage of Vajram Services and cancel your account. You agree that, unless otherwise expressly provided in these Terms, Vajram will not be responsible for any modification or termination of Vajram Services by you or any third party, or suspension or termination of your access to Vajram Services.

iv) Force Majeure: Vajram will not be liable for any delay or failure to perform as required by these Terms because of any cause or condition beyond Vajram’s reasonable control.

v) Severability: If any portion of these Terms and Conditions is held invalid or unenforceable, such invalidity will not affect the other provisions of these Terms and Conditions, which will remain in full force and effect.

vi) Assignment: You may not assign or transfer any right to use Vajram or any of your rights or obligations under these Terms without prior written consent from Vajram, including any right or obligation related to the enforcement of laws or the change of control. Vajram may assign or transfer any or all of its rights or obligations under these Terms, in whole or in part, without notice or obtaining your consent or approval.

vii) Third-Party Website Disclaimer: Any links to third-party websites from Vajram Services does not imply endorsement by Vajram of any product, service, information or disclaimer presented therein, nor does Vajram guarantee the accuracy of the information contained on them. If you suffer loss from using such third-party products and services, Vajram will not be liable for such loss. In addition, since Vajram has no control over the terms of use or privacy policies of third-party websites, you should read and understand those policies carefully.
